Work through BOR and DSR — exemption, gift or inheritance tax and the deferred box 2 claim

On the transfer of a BV, calculate what the business succession scheme yields: a 100% exemption up to € 1,543,500 of business assets and 75% above that, the remaining gift or inheritance tax per rate group, and the box 2 claim deferred rather than settled under the roll-over relief — with and without the schemes side by side.

What the tool does

✓ A two-tier BOR exemption: 100% on business assets up to € 1,543,500 and 75% on the remainder✓ Investment assets derived automatically as BV value less business assets, and taxed in full✓ Gift or inheritance tax per rate group: child and partner 10% / 20%, grandchild 18% / 36%, others 30% / 40%✓ Roll-over relief: the box 2 claim on the substantial-interest gain is deferred and shown separately as a latent claim✓ A conditions overview: ownership period, business operation period, the recipient age test on gifts and the continuation declaration, each with its outcome✓ Adjustable parameters for the threshold, the percentage above it and the box 2 rates, so a scenario can be modelled

Deferred is not the same as forgiven

A business succession triggers two levies at once: gift or inheritance tax on the value transferred, and the substantial-interest levy in box 2 on the gain over the acquisition price. The business succession scheme reduces the first by exempting a large part of the business assets. Roll-over relief affects the second: it is not waived but passed on to the recipient, who takes over the original acquisition price. The claim therefore survives and falls due on a later sale.

The tool makes that distinction explicit: the total levy without the schemes, the levy with BOR and DSR, and the latent box 2 claim that shifts into the future. Alongside it, the conditions — ownership period, business operation period, the recipient’s age on a gift, and the continuation declaration — are listed with their individual outcome. Every report states the parameters used, the tool version and the dataset vintage, so a scenario can be rerun exactly later.

Frequently asked questions about this tool

Is the saving shown final?
The saving on gift or inheritance tax is a real reduction. The box 2 element is not: it is deferred, not waived. The recipient takes over the original acquisition price, so the gain falls into box 2 on a later sale after all. The report shows that amount separately as a latent claim, precisely to keep the two apart.
What happens if I do not meet one of the conditions?
The tool marks the condition as not met and raises a warning, then computes the exemption and the saving in full anyway. That is deliberate: it shows you what is at stake. It does not mean the scheme applies in your case — the conditions are hard requirements and the report states explicitly which ones failed.
Does roll-over relief also apply to a transfer outside the family?
The tool flags the “other” relationship group as a point of attention but still sets the box 2 claim to zero in the calculation. For a transfer outside the circle roll-over relief covers, the box 2 column is therefore not representative: in that case read the without-schemes column and the latent claim instead.
Does the tool check the continuation requirement?
No, you declare it yourself. The three-year continuation requirement is recorded as a confirmation, not tested: there is no date or duration input. The same limitation applies to what qualifies as business assets — you enter that amount yourself and the tool does not derive it from the balance sheet.
